Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CSuite (the “Service”), provided by July Labs, LLC (“July Labs”, “we”, “us”, or “our”). By downloading, installing, or using the Service, you agree to be bound by these Terms.

1. Eligibility and age requirement

The Service is intended solely for adults. You must be at least 18 years old, or older where the age of majority in your jurisdiction is higher, to download, install, purchase, or use CSuite. By downloading, installing, purchasing, or using the Service, you represent and warrant that you meet that requirement.

The Service is not directed to children, and we do not knowingly make it available to anyone under 18. If you hold a license, you are responsible for keeping the Service, and anything created with it, away from minors who have access to your device. Do not purchase a license on behalf of a person under 18, and do not allow anyone under 18 to use the Service through your license.

If we learn that a license is held or used by someone under 18, we may deactivate that license and terminate access to the Service. If you believe a minor is using the Service, tell us at support@csuite.so.

2. Use of the Service

You may use the Service for lawful personal or business purposes, subject to these Terms. You are responsible for the accounts, credentials, and API keys you connect to the Service, and for any activity that occurs through them.

3. Your content

CSuite is a local-first application. Your prompts, conversations, workflows, files, and configuration are stored on your device. You retain all rights to your content. July Labs, LLC does not access your local content and does not transmit it to our servers as part of normal operation.

4. Third-party providers

The Service lets you connect to third-party AI providers and services. Your use of those providers is governed by their own terms and pricing. July Labs, LLC is not responsible for the availability, output, or billing of any third-party provider.

5. Acceptable use and prohibited content

CSuite is a creation tool, and you are solely responsible for what you make with it and for how you store, publish, or distribute it. You agree not to use the Service, and not to let anyone else use the Service through your license, to create, generate, edit, or distribute any of the following.

• Illegal content or activity. Anything that breaks applicable law, or that plans, promotes, or makes it easier to commit an unlawful act, including fraud, theft, trafficking, weapons manufacture, and the circumvention of legal or technical restrictions.
• Sexual or adult content. Pornographic, sexually explicit, or sexually suggestive material of any kind, in text, images, audio, or video. This prohibition is absolute for material that involves, depicts, or sexualizes a minor, whether real or synthetic, and we will report such material to the authorities where the law requires us to. Non-consensual intimate imagery and sexualized depictions of real people are prohibited on the same terms.
• Harmful, violent, or abusive content. Material that promotes or glorifies violence, self-harm, or cruelty; graphic gore and shock imagery; and content that harasses, threatens, defames, or demeans a person or group, including on the basis of race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or age.
• Misleading or deceptive content. Synthetic media presented as genuine, including impersonation of a real person or organization, fabricated statements or records attributed to real people, forged documents, fake reviews and endorsements, and disinformation. Cloning a real person’s voice, face, or likeness without that person’s documented consent is prohibited, and where you publish synthetic media you are responsible for disclosing that it is machine-generated wherever the law or the platform requires it.
• Political content. Political campaigning and electioneering, and any content produced to influence an election, referendum, or political process, including synthetic depictions of candidates, officials, or public bodies and content that impersonates a government or a political organization.
• Regulated substances and goods. Content that promotes, advertises, or explains how to obtain or manufacture illegal drugs or controlled substances, and content that markets alcohol, tobacco, nicotine, cannabis, prescription medicines, firearms, or gambling to minors or in breach of applicable advertising law. Medical, dosage, legal, or financial instructions presented as professional advice are prohibited on the same terms.
• Security and privacy violations. Malware, exploits, phishing material, and credential-harvesting content, and the processing of another person’s personal, biometric, health, or financial data without a lawful basis and their consent.
• Infringement. Content that infringes the copyright, trademark, patent, trade secret, publicity, or privacy rights of any other party.
• Interference. Reverse engineering the Service, circumventing licensing or usage limits, reselling or sharing license keys, and disrupting the Service, our infrastructure, or any connected provider.

CSuite runs on your own machine and reaches third-party providers through your own accounts and API keys, so we do not see, screen, filter, or store what you generate. The rules in this section are obligations you take on, not restrictions we apply technically, and the fact that the Service will technically produce something does not mean these Terms permit it. Where you route work to a third-party provider or run a third-party model, that provider’s and that model’s own acceptable use policies apply to you in addition to these Terms and are frequently stricter. See sections 4 and 10.

Breaching this section is a material breach of these Terms. We may deactivate your license key and terminate your access to the Service, and we may report unlawful activity to the relevant authorities. You can report misuse to us at support@csuite.so.

6. Intellectual property

The Service, including its software, design, and trademarks, is owned by July Labs, LLC and protected by applicable laws. These Terms do not grant you any rights in our trademarks or branding.

7. Disclaimer

The Service is provided “as is” without warranties of any kind. AI-generated output may be inaccurate or unsuitable for your purpose. You are responsible for reviewing output before relying on it.

8. Limitation of liability

To the fullest extent permitted by law, July Labs, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.

9. Open-source components

CSuite includes and interoperates with open-source software from third parties. Your use of the Service includes use of these components, which are provided under their own licenses. Some of them ship inside the installer; others are downloaded to your own machine the first time a feature needs them, directly from the publisher rather than from us. Copies of the relevant license texts are available on request from support@csuite.so.

• Ollama: local model runtime, downloaded on first use. MIT License. Copyright © Ollama.
• FFmpeg: media encoding and editing, used for video and audio processing on your device and downloaded on first use. CSuite does not bundle or redistribute FFmpeg: the app fetches a prebuilt binary from its publisher’s own servers and runs it as a separate program. The builds CSuite fetches are licensed under the GNU General Public License, and the FFmpeg source code is published at ffmpeg.org.
• stable-diffusion.cpp: local image and video generation runtime, downloaded on first use. MIT License. It includes ggml, the tensor library it is built on, also under the MIT License.
• Transformers.js (Hugging Face): local model runtime, installed on first use from the npm registry along with its supporting packages (Hugging Face tokenizers and ONNX Runtime). Apache License 2.0 and MIT License. Copyright © Hugging Face and © Microsoft.
• libvips: image processing used by the local Hugging Face runtime, installed with it on macOS and Linux. libvips is licensed under the GNU Lesser General Public License v3 or later; sharp, the binding CSuite calls it through, is under the Apache License 2.0.

CSuite is additionally built on Electron, Chromium, and Node.js and bundles a number of permissively licensed libraries under the MIT, Apache 2.0, ISC, and BSD licenses. The Electron and Chromium license texts are installed alongside the application, and copies of the others are available on request at the address above.

10. Third-party AI models

When you download or run a local model through CSuite, the model weights are distributed by third parties (Ollama’s registry or the Hugging Face Hub) and are subject to the license of the model itself, in addition to these Terms. You are responsible for complying with each model’s license and any acceptable use or prohibited use policy attached to it.

The table below summarizes the licenses that apply to the local models currently featured in the CSuite catalog. These terms may change; always refer to the model’s official source for the authoritative terms.

• Gemma 4 (all sizes): Apache License 2.0. Commercial use permitted.
• Mistral 7B: Apache License 2.0. Commercial use permitted.
• Qwen3: Apache License 2.0. Commercial use permitted.
• Granite 4.1 (all sizes): Apache License 2.0. Commercial use permitted.
• Z-Image Turbo: Apache License 2.0. Commercial use permitted.
• Flux 2 Klein 4B: Apache License 2.0. Commercial use permitted.
• Llama 3.1 8B / 3.2 3B: governed by the Llama Community License. Commercial use is permitted, but obligations flow down to you: a “Built with Llama” attribution requirement and inclusion of the Llama license notice, a restriction against using Llama outputs to train non-Llama models, and the Llama Acceptable Use Policy. Organizations exceeding 700 million monthly active users must obtain a separate license from Meta. You are responsible for ensuring your use complies with that license and applicable law.
• MedGemma (1.5 / 27B): governed by the Health AI Developer Foundations Terms of Use, including a Prohibited Use Policy that flows down to end users. MedGemma is intended as a starting point for healthcare application development and is not a medical device and not intended to diagnose, treat, cure, or prevent any disease. You are solely responsible for ensuring that any use you make of MedGemma, and any output derived from it, complies with the HAI-DEF terms, applicable law, and applicable clinical, regulatory, and professional standards. Do not use MedGemma to make clinical decisions without appropriate validation and human oversight.
• Nemotron 3 Nano: governed by the NVIDIA Open Model License Agreement. Commercial use, modification, and redistribution are permitted and NVIDIA claims no ownership of generated outputs, but the agreement’s acceptable use terms flow down to you. You are responsible for ensuring your use complies with that license and applicable law.
• North Mini Code 1: Cohere’s North models are released under the Creative Commons BY-NC 4.0 license together with Cohere’s acceptable use policy, both of which flow down to end users. This license restricts use to non-commercial purposes only. Commercial use, including use within a paid product or service, is not permitted. You are responsible for ensuring your use complies with the license, its acceptable use terms, and applicable law.
• LFM2 24B / LFM2.5 8B: released under Liquid AI’s LFM Open License. The weights are open, but commercial use is permitted only for organizations below the revenue threshold stated in that license; organizations above it must obtain a separate commercial license from Liquid AI. You are responsible for ensuring your use complies with the license and applicable law.
• Supertonic TTS: released under the BigScience OpenRAIL-M license. Commercial use is permitted, but this is a use-restricted license: its restrictions flow down to you, and you must pass them on to anyone you distribute the model to. Because the model generates speech, several of those restrictions bear directly on ordinary use: you may not use it to impersonate a person, to generate audio presented as human without disclosing that it is machine-generated, or for defamation, harassment, or the creation of false information intended to harm others. Voices generated from its presets are synthetic; cloning or imitating a real person’s voice without that person’s consent is your responsibility and may be unlawful regardless of what the model license permits. You are responsible for ensuring your use complies with the license, its use restrictions, and applicable law.

If you reject the license terms applicable to a given model, do not download or use that model. Uninstalling a model removes its weights from your machine.

11. Refunds and returns

CSuite is a digital product delivered as a one-time license, so there are no physical goods to return and no exchanges. We offer a straightforward refund instead.

• 7-day refund. If CSuite isn’t the right fit for any reason, email us within 7 days of your purchase and we’ll refund your order in full. No forms and no surveys. A one-line message is enough, and we don’t require a reason.
• How refunds are issued. Refunds are returned to your original payment method through Stripe, typically within 5 to 10 business days. The full purchase price is refunded at no cost to you.
• License deactivation. Your license key is deactivated as part of the refund.
• No exceptions. Every CSuite license is eligible. The refund window applies to all purchases.

12. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
